ITEM 7.01 Regulation FD Disclosure.

On July 25, 2012, OSI Restaurant Partners, LLC (the “Company”) issued a press release announcing the commencement of a tender offer for all of its outstanding 10% Senior Notes due 2015 (the “Notes”). In conjunction with the tender offer, the Company is soliciting consents from noteholders to effect certain amendments to the indenture governing the Notes. The press release is furnished with this report as Exhibit 99.1.
