Terms and conditions for using Earnings Feed’s platform, APIs, and services.
Terms of Service
By accessing or using Earnings Feed, you agree to these Terms of Service. If you do not agree, do not access or use the Service.
1. Who we are
Earnings Feed is a real-time SEC filings terminal operated by Lucent Enterprises Ltd., doing business as "Earnings Feed" ("Earnings Feed", "we", "us", or "our").
These Terms of Service ("Terms") govern your use of:
- earningsfeed.com and any subdomains,
- the authenticated dashboard and web application,
- any APIs, alerts, integrations, webhooks, and tools we provide, and
- any other products or services that link to these Terms
(collectively, the "Service").
When we say "you", we mean you as an individual user and, if you are using the Service on behalf of an organization, that organization as well.
By using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Acceptance of terms
By creating an account, accessing the dashboard, using any API keys, or otherwise using the Service, you:
- acknowledge that you have read and understood these Terms,
- agree to be bound by them, and
- agree to our Privacy Policy, which describes how we handle personal data.
If you are required by your employer, firm, or compliance department to obtain approvals before using tools like Earnings Feed, you are responsible for obtaining those approvals before using the Service.
3. Eligibility
You may use the Service only if:
- you are at least the age of majority in your jurisdiction (typically 18+), and
- you are legally capable of entering into a binding contract with us, and
- you are not barred from using the Service under applicable law (for example, under sanctions, export control, or securities restrictions).
If you are accessing the Service from outside Canada or the United States, you are responsible for ensuring that your use complies with local laws, including securities and financial services regulations.
4. Description of the service
Earnings Feed provides tools to access and monitor U.S. SEC EDGAR filings and related public market information. The Service includes:
4.1 Core features
- Real-time filing feed that updates every minute with new SEC filings (10-K, 10-Q, 8-K, Form 3/4/5, S‑1, 13D/13G, 13F, Form 144, and other form types)
- Company profiles and research hubs including filing history, ticker information, industry classifications (SIC codes), and former names
- Search and filtering by ticker, CIK, company name, form type, exchange, industry, insider, or date range
- Insider transaction tracking from Form 3/4/5 filings
- Institutional holdings data from 13F filings
- Educational content and blog with guides on understanding SEC filings
- Public filing browser accessible without an account
4.2 Authenticated features
For users with accounts:
- Custom watchlists to track unlimited companies
- Personalized dashboard showing filings from watched companies
- Email alert subscriptions for specific companies and form types
- Alert preferences configuration (frequency, form type filters, custom labels)
- Onboarding and educational emails including welcome messages, feature highlights, and upgrade information
- API access with programmatic access to filing data, company information, insider transactions, and institutional holdings
- API key generation and management with usage monitoring
4.3 Tier-specific features
Features vary by subscription tier as described in Section 13 – Subscription plans, payment & refunds.
We may add, change, or remove features from time to time (see Section 11 – Service changes & availability).
5. Account registration & security
Some parts of the Service can be browsed without an account. To use personalized features (such as watchlists, alerts, dashboards, or APIs), you must create an account.
When you create or are given an account:
- Accurate information. You must provide accurate, current information and keep it updated.
- Account security. You are responsible for maintaining the confidentiality of your login credentials and any API keys or tokens associated with your account. API keys should be treated as passwords and must not be shared publicly or embedded in client-side code.
- Access control. You are responsible for all activity that occurs under your account, whether or not you authorized it.
- Unauthorized access. You must notify us promptly at contact@earningsfeed.com if you become aware of or suspect any unauthorized access to your account, API keys, or the Service.
- No resale of accounts. Accounts are for your use (or your organization's internal use) only. You may not rent, lease, sell, or otherwise transfer your login or access to third parties.
We reserve the right to reject, suspend, or reclaim usernames that are offensive, misleading, or infringe on third-party rights.
6. License to use the service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- access and use the Service for your own internal research, analysis, and informational purposes, and
- if applicable, integrate our APIs and alerts into your internal systems, tools, or workflows.
Except for this license, we reserve all rights in and to the Service.
You may not:
- copy, frame, mirror, or reproduce substantial portions of the Service in another product or service;
- rent, lease, sell, sublicense, or otherwise commercially exploit the Service or its outputs as a standalone data feed or competing product;
- attempt to circumvent any usage limits, rate limits, technical protections, or access controls;
- remove, alter, or obscure any proprietary notices or attributions that appear on the Service; or
- use the Service to create a product or service that competes with or substantially replicates Earnings Feed.
7. Data, content & intellectual property
7.1 Public market data
The Service surfaces SEC filings and related public records that are available via the SEC EDGAR system and other public sources. Those underlying records remain subject to the terms, licenses, and regulations set by the original sources (e.g., the U.S. Securities and Exchange Commission).
We do not claim ownership over the original SEC filings themselves. However, you acknowledge that:
- the way we collect, normalize, organize, index, and present those filings,
- any value-added metadata, tags, analytics, or enrichments we create,
- our proprietary data processing pipelines and algorithms, and
- the overall design, look, and feel of the Service
are proprietary to Earnings Feed and protected by copyright, database rights, trade secret, and other intellectual property laws.
Important: Public data from SEC filings (such as insider names and addresses from Form 4, or institutional holder information from 13F filings) is public information sourced from the SEC. Such information is treated as market data, not personal data collected by us about you. We aggregate, index, and display this public information as part of the Service.
Earnings Feed is not endorsed by, affiliated with, or sponsored by the U.S. Securities and Exchange Commission or any other regulator.
7.2 Our platform & materials
All rights, title, and interest in and to the Service (including the software, user interface, APIs, documentation, designs, trademarks, logos, and any derived datasets or analytics) are owned by Earnings Feed or its licensors.
You may not use our name, logos, or trademarks without our prior written permission, other than as necessary to truthfully refer to the Service.
7.3 Your content
You may be able to submit or store content through the Service, such as:
- saved queries, filters, and watchlists,
- tags, labels, notes, or other annotations,
- alert and notification configuration, or
- feedback, support requests, or other communications.
You retain ownership of your content. By submitting or storing content in the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, host, copy, modify, and display that content solely as necessary to provide and improve the Service, comply with law, and support you.
We may analyze usage patterns in aggregated and de-identified form to improve reliability, performance, and features. We will not sell your personal data to third parties.
7.4 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use that feedback without restriction or obligation to you.
8. Acceptable use
You agree to use the Service lawfully, responsibly, and in a way that does not harm us, other users, or the markets.
You must not:
- Abuse or disrupt the Service. Attempt to interfere with or impair the integrity, performance, or security of the Service or our infrastructure (for example, via denial-of-service attacks, automated high-volume traffic outside published limits, or exploiting vulnerabilities).
- Bypass access controls. Access (or attempt to access) accounts, data, features, or systems you are not authorized to use.
- Scrape or harvest in violation of these Terms. Use bots, crawlers, or other automated systems to systematically download, harvest, or index the Service in a way that:
- materially exceeds normal usage or documented API limits,
- degrades performance for other users, or
- replicates the Service or a substantial portion of our database as a competing offering.
- Reverse engineer. Reverse engineer, decompile, or attempt to derive the source code of any part of the Service, except where allowed by applicable law and then only after giving us notice and an opportunity to provide the required information.
- Misuse data. Use data from the Service:
- to violate securities, market-abuse, or insider trading laws,
- to manipulate markets, disseminate false or misleading information, or engage in pump-and-dump schemes,
- to engage in front-running, spoofing, or other manipulative trading practices,
- in any way that contravenes applicable financial regulations, or
- to harass, stalk, or otherwise harm individuals whose information appears in public SEC filings.
- Misrepresent yourself. Misrepresent your identity, affiliation, or the purpose of your use of the Service.
- Infringe rights. Use the Service in a way that infringes or violates the intellectual property, privacy, or other rights of any person or entity.
- Illegal or harmful activities. Use the Service for any illegal, harmful, fraudulent, or abusive activities.
- Sanctions and export compliance. Use the Service if you are located in, ordinarily resident in, or operating on behalf of any person or entity in a jurisdiction subject to comprehensive U.S. or Canadian sanctions or export restrictions.
We may investigate suspected violations and may suspend or terminate access where we reasonably believe a violation has occurred (see Section 12 – Term & termination).
9. APIs, automation & integrations
We provide programmatic access to SEC filing data, company information, insider transactions, and institutional holdings through our REST API.
9.1 API access and authentication
- API keys. Your API keys and tokens are confidential credentials. You must keep them secret, store them securely (e.g., in environment variables or secrets management systems), and use them only for your authorized internal applications.
- API key security. API keys should never be committed to public repositories, embedded in client-side code, or shared with unauthorized parties. You are responsible for all usage under your API keys.
- Key rotation. We recommend rotating API keys periodically. You can generate new keys and revoke old keys from your dashboard.
9.2 Rate limits and quotas
You must comply with the following rate limits, which vary by subscription tier:
- Free tier: 15 requests per minute
- Pro tier: 60 requests per minute
- Trader tier: 300 requests per minute
We may throttle or suspend access that exceeds or attempts to bypass these limits. Rate limit information is provided in API response headers (X-RateLimit-Remaining, X-RateLimit-Reset).
If you require higher rate limits for legitimate use cases, contact us to discuss enterprise options.
9.3 API usage restrictions
- Attribution. Where reasonably practical, you should indicate that data surfaced through your internal tools originates from Earnings Feed.
- No redistribution as a data feed. You may not use the APIs to build a general-purpose SEC data feed, filings terminal, or alerts service that competes with Earnings Feed, or to resell or redistribute the data in bulk to third parties, without our express written permission.
- Internal use. API access is intended for your internal research, analysis, and operational purposes. If you wish to use API data in a commercial product or service offered to external users, contact us to discuss licensing.
- No abuse. Do not use the APIs to circumvent the web interface's usage limits, or to systematically replicate our entire database.
9.4 Third-party integrations and webhooks
- Third-party tools. If you connect the Service to third-party tools (e.g., email providers, messaging platforms, CRM systems, or internal databases), you are responsible for complying with those providers' terms and ensuring that your use of our data in those tools complies with these Terms.
- Webhooks. Where webhook functionality is available, you are responsible for securing your webhook endpoints and validating webhook signatures.
9.5 API changes and deprecation
We may update, modify, or deprecate APIs over time. When we do so, we will use reasonable efforts to provide advance notice via email, in-product notifications, or API documentation updates, and to provide a migration path where feasible. However, we may make changes without notice where necessary to address security vulnerabilities, legal requirements, or critical operational issues.
10. Privacy & data protection
Our Privacy Policy explains how we collect, use, and safeguard information when you use the Service. By using the Service, you acknowledge that we will process personal data as described there.
Nothing in these Terms is intended to override rights you may have under applicable privacy or data protection laws, including GDPR, CCPA, PIPEDA, or similar regulations.
Key privacy commitments:
- We do not sell your personal data to third parties.
- We use service providers (such as Clerk for authentication, Stripe for payment processing, Resend for email delivery, and Vercel/PlanetScale for hosting) who process data on our behalf under contract.
- You have data rights including access, correction, deletion, and portability, subject to applicable law. Contact privacy@earningsfeed.com to exercise these rights.
11. Service changes, availability & support
We strive to keep Earnings Feed fast, reliable, and available, but interruptions and changes will occur.
The Service may be unavailable or degraded due to:
- scheduled maintenance (we will provide advance notice where reasonably possible),
- emergency fixes or security updates,
- network or infrastructure issues beyond our reasonable control,
- events of force majeure (for example, internet outages, regulatory changes, or natural disasters), or
- dependencies on upstream data sources (such as SEC EDGAR).
We may, at any time and with reasonable notice where practicable:
- add or remove features,
- change how or where data is stored or displayed,
- introduce new services or pricing tiers,
- modify rate limits or usage quotas,
- discontinue parts of the Service, or
- update our terms, policies, or technical requirements.
Where a change materially and adversely affects your paid subscription, we will use reasonable efforts to provide at least 30 days' advance notice via email or in-product messaging.
No SLA or uptime guarantees. We have no obligation to provide any specific service-level commitments, uptime guarantees, or support response times unless separately agreed in writing (for example, in an enterprise agreement).
Support. Support is provided on a reasonable-efforts basis. Trader tier subscribers receive priority support. Support is available via email at contact@earningsfeed.com.
12. Term & termination
These Terms remain in effect for as long as you access or use the Service.
12.1 Your right to terminate
You may stop using the Service at any time. If you have an account, you may deactivate or delete it via the dashboard or by contacting support at contact@earningsfeed.com. For paid subscriptions, you can cancel renewal as described in Section 13 – Subscription plans, payment & refunds.
If you cancel a paid subscription, you will retain access to paid features until the end of your current billing period.
12.2 Our right to suspend or terminate
We may suspend or terminate your access to the Service (or specific features) if we reasonably believe that:
- you have violated these Terms or other policies referenced herein,
- your use poses a security risk, operational risk, or legal risk to us, other users, or third parties,
- your account has been compromised or is being used for fraudulent or abusive purposes,
- we are required to do so by law, regulation, court order, or lawful government request, or
- your payment method has failed and amounts owed remain unpaid.
We will try to provide notice where appropriate, but we may suspend access immediately in urgent situations (for example, abuse, attack traffic, suspected compromise, or legal requirement).
12.3 Effect of termination
Upon termination:
- your right to access and use the Service ends immediately,
- we may deactivate or delete your account and associated configuration data (including watchlists, alert preferences, and API keys), subject to legal, regulatory, or backup retention requirements, and
- sections of these Terms that by their nature should survive (including Sections 7, 8, 15, 16, 17, and 18) will continue to apply.
We may retain certain records (for example, log data, billing records, or communications) as necessary for our legitimate business interests, security, compliance, and dispute resolution.
13. Subscription plans, payment & refunds
Earnings Feed operates on a freemium model. Core features (public filing feed, search, company profiles) are available without charge. Additional features and higher usage limits are available through paid subscription plans.
13.1 Subscription plans
We currently offer the following subscription tiers:
Free Tier (No charge)
- Unlimited access to public filing feed and search
- Unlimited watchlists
- Up to 5 alert subscriptions
- Daily or weekly digest emails
- API access with 15 requests per minute
- Standard support
Pro Tier
Pricing: $15/month billed monthly, or $120/year billed annually ($10/month equivalent)
- All Free tier features
- Up to 50 alert subscriptions
- Instant email alerts (delivered within minutes of filing)
- API access with 60 requests per minute
- Early access to new features
- Standard support
Trader Tier
Pricing: $75/month billed monthly, or $600/year billed annually ($50/month equivalent)
- All Pro tier features
- Up to 250 alert subscriptions
- Instant email alerts (delivered within minutes of filing)
- API access with 300 requests per minute
- Early access to new features
- Priority support
Pricing and features are subject to change. Current pricing is available at earningsfeed.com/pricing.
13.2 Billing and payment
- Payment processor. All payments are processed by Stripe, Inc. By subscribing to a paid plan, you agree to Stripe's Services Agreement and Privacy Policy.
- Payment methods. You authorize us and Stripe to charge your selected payment method (credit card, debit card, or other accepted methods) for the applicable subscription fees and any taxes.
- Automatic renewal. Paid subscriptions automatically renew at the end of each billing period (monthly or annual) unless you cancel before the renewal date.
- Billing cycle. You will be charged on the date you subscribe and on the same day of each subsequent billing period. For annual subscriptions, you will be charged once per year.
- Taxes. Fees are exclusive of applicable taxes (including sales tax, VAT, GST, or similar taxes). You are responsible for paying all applicable taxes unless you provide a valid tax exemption certificate.
13.3 Cancellation
You may cancel your subscription at any time from your dashboard (Settings → Billing) or by contacting support at contact@earningsfeed.com.
- Access until end of period. If you cancel, you will retain access to paid features until the end of your current billing period.
- No auto-renewal. Your subscription will not renew after cancellation.
- Reactivation. You may reactivate a canceled subscription at any time.
13.4 Refunds
Fees are non-refundable except:
- where required by applicable law,
- in cases of billing errors or unauthorized charges (which we will investigate and refund if confirmed), or
- at our sole discretion in exceptional circumstances.
Fees are non-refundable and non-creditable for:
- partial billing periods,
- unused features or alert subscriptions,
- downgrade to a lower-tier plan (downgrade takes effect at the next renewal), or
- subscription cancellations (you retain access until the end of the paid period).
13.5 Downgrades and plan changes
- Upgrades. You may upgrade to a higher tier at any time. You will be charged the prorated difference for the remainder of the current billing period.
- Downgrades. You may downgrade to a lower tier at any time. The downgrade will take effect at the end of your current billing period. No refunds or credits are provided for the period between downgrade request and effective date.
- Feature limitations. If you downgrade and have more alert subscriptions or other resources than permitted by the new tier, you will be required to reduce usage to the new tier's limits.
13.6 Price changes
We may change subscription pricing or introduce new charges from time to time. For existing recurring subscriptions:
- We will provide at least 30 days' advance notice of price increases via email to your account email address.
- Price changes will apply from the next renewal term (not the current billing period).
- If you do not agree to the price increase, you may cancel your subscription before the new price takes effect.
13.7 Payment failures and suspension
If payment fails or you have an outstanding balance:
- We will attempt to charge your payment method and notify you of the failure.
- You will have a grace period to update your payment method.
- If payment is not received within the grace period, we may suspend or downgrade your access to paid features until payment is received.
- We may charge a reasonable fee for failed payment processing where permitted by law.
13.8 Stripe Climate contribution
Earnings Feed contributes 0.5% of revenue to carbon removal projects via Stripe Climate. This contribution is included in our operational costs and does not affect subscription pricing.
14. Third-party services & links
The Service integrates with and may include links to third-party websites, content, tools, or services.
14.1 Service providers and integrations
We use third-party service providers to deliver and improve the Service, including:
- Clerk – User authentication and identity management
- Stripe – Payment processing and subscription billing
- Resend – Transactional email delivery (alerts, digests, notifications)
- Vercel – Web hosting, serverless functions, analytics, and file storage
- PlanetScale – PostgreSQL database hosting
- PostHog – Product analytics, session recording, and error monitoring
- Yahoo Finance – Stock price data for watchlist sparklines
These providers process data on our behalf under contract. Our use of these providers is covered in our Privacy Policy.
14.2 External data sources
SEC filing data is sourced from the U.S. Securities and Exchange Commission's EDGAR system (sec.gov). We are not affiliated with or endorsed by the SEC.
14.3 Third-party links and content
The Service may include links to third-party websites, content, tools, or services (for example, SEC.gov, exchange websites, company investor relations pages, or financial research tools). We do not control, endorse, or assume responsibility for third-party services.
Your use of third-party services is governed by their own terms and privacy policies, not these Terms. Any reliance on third-party data or services is at your own risk.
14.4 Affiliate relationships
We may participate in affiliate programs and earn commissions from referrals. For example, we participate in the TradingView affiliate program. Affiliate relationships do not affect the cost of services to you or influence our editorial content.
15. Disclaimers
THE SERVICE AND ALL CONTENT AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:
- implied warranties of merchantability, fitness for a particular purpose, and non‑infringement;
- any warranties that the Service will be uninterrupted, timely, secure, or error‑free;
- any warranties that the data or content provided will be accurate, complete, current, or suitable for any particular use; and
- any warranties regarding the results, performance, or outcomes from using the Service.
You understand and agree that:
15.1 Not investment advice
Earnings Feed is not a registered investment advisor, broker‑dealer, financial planner, or fiduciary. Nothing on or from the Service constitutes investment, financial, legal, tax, accounting, or other professional advice.
15.2 No recommendations
References to specific securities, issuers, filings, insiders, industries, or strategies are for informational purposes only and do not constitute recommendations to buy, sell, or hold any security, or to take any investment action.
15.3 You assume all risk
You are solely responsible for:
- your investment decisions and trading strategies,
- compliance with your own regulatory and compliance obligations (including securities laws, insider trading restrictions, and reporting requirements),
- evaluating the suitability, accuracy, and completeness of information obtained through the Service, and
- any outcomes, losses, or liabilities that result from your use of the Service.
You should conduct your own independent research and consult qualified professionals (such as licensed financial advisors, attorneys, or accountants) before making investment or other financial decisions.
15.4 Official sources control
While we strive to provide fast and accurate access to SEC filings and other public data, the official versions of those filings are maintained by the relevant regulator (such as the SEC's EDGAR system at sec.gov).
In case of any discrepancy between data displayed on Earnings Feed and the official source:
- The official source controls.
- We are not liable for errors, delays, omissions, or discrepancies in data.
- You should verify critical information directly with the official source before relying on it for important decisions.
15.5 Data delays and accuracy
- Data may be delayed. While we update our filing feed every minute, there may be delays due to SEC processing times, ingestion latency, network issues, or other factors.
- No guarantee of real-time data. We do not guarantee that data will be delivered in real time or within any specific timeframe.
- Errors may occur. Data extraction, parsing, and normalization may contain errors or omissions. We do not warrant the accuracy or completeness of any derived data, metadata, or analytics.
- Alert delivery. While we strive to deliver instant alerts within minutes for Pro and Trader subscribers, we do not guarantee delivery times, and alerts may be delayed or fail to deliver due to email provider issues, network problems, or other factors beyond our control.
15.6 Market data and trading risks
- Markets are risky. Trading and investing in securities involves substantial risk of loss. You may lose some or all of your invested capital.
- No guarantee of profits. Past performance and historical data do not guarantee future results.
- Regulatory compliance. You are solely responsible for compliance with all applicable securities laws, insider trading restrictions, market abuse regulations, and reporting requirements in your jurisdiction.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of the above may not apply to you. In that case, the exclusions apply to the fullest extent permitted by applicable law.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EARNINGS FEED, LUCENT ENTERPRISES LTD., OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, OR LICENSORS BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
- ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE, OR DATA;
- ANY TRADING LOSSES, INVESTMENT LOSSES, OR OTHER FINANCIAL LOSSES;
- ANY DAMAGES ARISING FROM RELIANCE ON DATA, CONTENT, OR FUNCTIONALITY PROVIDED THROUGH THE SERVICE;
- ANY DAMAGES ARISING FROM INTERRUPTIONS, ERRORS, DELAYS, OMISSIONS, OR INACCURACIES IN THE SERVICE;
- ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
- ANY DAMAGES ARISING FROM THIRD-PARTY CONDUCT OR CONTENT; OR
- ANY OTHER DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE,
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AGGREGATE LIABILITY CAP: IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR
- ONE HUNDRED DOLLARS ($100 USD).
If you use the Service free of charge or have paid less than $100 in the preceding 12 months, you acknowledge that our total liability to you for any claims will be limited to the maximum extent permitted by law.
Essential purpose. You acknowledge that the limitations of liability and disclaimers in these Terms reflect a reasonable allocation of risk and that we would not provide the Service without these limitations.
Consumer protection laws. Nothing in these Terms seeks to exclude or limit liability that cannot be excluded or limited under applicable law (for example, in cases of fraud, willful misconduct, gross negligence, death or personal injury, or certain statutory consumer protections).
17. Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Earnings Feed, Lucent Enterprises Ltd., and their officers, directors, employees, contractors, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or related to:
- your breach of these Terms or any other applicable policies,
- your misuse of the Service or any data or content obtained through it,
- your violation of any law or regulation (including securities laws, market abuse regulations, insider trading restrictions, privacy laws, or intellectual property laws),
- your violation of any rights of any third party,
- any dispute between you and a third party in connection with your use of the Service,
- any trading or investment losses suffered by you or third parties allegedly arising from your use of the Service, or
- any claim that your use of the Service caused harm to any person or entity.
We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at our own expense), in which case you agree to cooperate with our defense and not settle any claim without our prior written consent.
This indemnification obligation will survive termination of these Terms and your use of the Service.
18. Governing law & dispute resolution
These Terms, and any dispute or claim arising out of or in connection with them or the Service, are governed by and construed in accordance with:
- the laws of the Province of British Columbia, and
- the federal laws of Canada applicable therein,
without giving effect to any choice or conflict of law provision or rule.
18.1 Jurisdiction and venue
You and Earnings Feed agree to submit to the exclusive jurisdiction of the provincial and federal courts located in Vancouver, British Columbia, Canada, for the resolution of any disputes arising out of or relating to these Terms or the Service.
You irrevocably waive any objection to venue in Vancouver, British Columbia, and any claim that such courts are an inconvenient forum.
18.2 Exceptions
Nothing in this section limits:
- our ability to seek injunctive or equitable relief in any jurisdiction where you reside or where your use of the Service occurs,
- either party's right to bring an individual action in small claims court, or
- mandatory consumer protection rights that apply in your jurisdiction and cannot be waived by contract.
18.3 No class actions
You and we agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
If this class action waiver is found to be unenforceable, the entirety of this dispute resolution provision (except for the governing law clause) shall be null and void.
19. Changes to these terms
We may revise these Terms from time to time, for example to:
- reflect changes to the Service or new features,
- comply with new legal requirements or regulatory guidance,
- address security or operational needs, or
- clarify existing provisions.
When we make material changes, we will provide notice by:
- updating the "updated" date at the top of this page, and
- notifying you via the dashboard, email, or in-product messaging where reasonable.
Effective date of changes: Unless stated otherwise, changes take effect on the date they are posted.
For material changes affecting paid subscriptions (such as material reductions in features or significant price increases beyond those permitted in Section 13.6), we will provide at least 30 days' advance notice where reasonably practicable.
Your acceptance: Your continued use of the Service after the revised Terms have taken effect constitutes your acceptance of them.
If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription in accordance with Section 13.3.
20. Miscellaneous
Entire agreement. These Terms, together with our Privacy Policy and any additional terms we present for specific features (such as enterprise agreements or order forms), constitute the entire agreement between you and us regarding the Service and supersede any prior agreements, representations, or understandings.
Assignment. You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. Any attempted assignment in violation of this provision is void. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, or by operation of law, without your consent.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any provision of these Terms, or to exercise any right or remedy available under them, is not a waiver of that provision, right, or remedy, or of our right to enforce it in the future. Any waiver must be in writing and signed by an authorized representative of Earnings Feed.
Force majeure. We will not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
Relationship. Nothing in these Terms creates any partnership, joint venture, employment, agency, or franchise relationship between you and us. You have no authority to bind us or make commitments on our behalf.
Language. These Terms are prepared in English. Translations (if any) are provided for convenience only; the English version controls in case of any conflict or ambiguity.
Section headings. Section headings and titles are for convenience only and do not affect the interpretation of these Terms.
Survival. Provisions of these Terms that by their nature should survive termination will survive, including Sections 7 (Data, content & intellectual property), 8 (Acceptable use), 15 (Disclaimers), 16 (Limitation of liability), 17 (Indemnification), 18 (Governing law & dispute resolution), and 20 (Miscellaneous).
U.S. government users. If you are a U.S. government entity, the Service is a "commercial item" as defined at 48 C.F.R. §2.101, and is provided with only those rights as are granted to all other users under these Terms.
Export compliance. You agree to comply with all applicable export and import control laws and regulations in your use of the Service, including the U.S. Export Administration Regulations, the International Traffic in Arms Regulations, and economic sanctions programs administered by the U.S. Office of Foreign Assets Control and similar Canadian regulations.
