EXPLANATORY NOTE

On March 9, 2026, Logistic Properties of the Americas (“LPA”) issued a press release announcing that it has entered into a forward purchase agreement for a portfolio of Class A industrial properties strategically located in Tepeji del Río, State of Hidalgo, Mexico. A copy of this press release is attached as Exhibit 99.1 to this Form 6-K.
