Provide the following information regarding the aggregate number and percentage of the class of securities of the issuer identified in Item 1.

(a) Amount Beneficially Owned:

As of the close of business on September 20, 2021, the reporting persons beneficially owned an aggregate of 6,898,616 shares of the Issuer’s Common Stock, or 8.2% of the Issuer’s Common Stock outstanding, which percentage was calculated based on 84,063,182 shares of the Issuer’s Common Stock outstanding as of August 6, 2021, as reported in the Issuer’s proxy statement filed on August 11, 2021.

On September 21, 2021, the Issuer was acquired by Ventas, Inc. ("Ventas"). Pursuant to the terms of the merger agreement, each share of the Issuer’s Common Stock issued and outstanding immediately prior to the effective time of the merger (other than shares of the Issuer’s Common Stock owned directly by Ventas, Cadence Merger Sub LLC or the Issuer) was converted into the right to receive 0.1561 of a newly issued share of common stock, par value $0.25 per share, of Ventas. Accordingly, as a result of the consummation of the merger, the reporting persons no longer beneficially owned any shares of the Issuer’s Common Stock.
