DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

On September 19, 2025:

	·	Howard Crosby resigned as a Director of the Company;

John Ryan resigned as the Company’s Chief Financial Officer, Secretary and as a Director;

Mr. Crosby and Mr. Ryan did not resign as a result of any disagreement relating to the Company’s operations, policies or practices.
