Item 8.01. Other Events.

As previously reported, NeueHealth, Inc. (the “Company”) entered into an Agreement and Plan of Merger, dated as of December 23, 2024 (the “Merger Agreement”), by and among the Company, NH Holdings 2025, Inc. (“Parent”), and NH Holdings Acquisition 2025, Inc. On September 18, 2025, Parent delivered to the Company written notice of the extension of the Outside Date (as defined in the Merger Agreement) to December 23, 2025 in accordance with Section 8.1(a) of the Merger Agreement.
