Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective June 11, 2025, Tom Symonds resigned as our Chief Executive Officer and member of our board of directors. There was no known disagreement with Mr. Symonds on any matter relating to our operations, policies, or practices.

On June 11, 2025, we appointed Stephen Morris as the Chief Executive Officer of our company.

The employment history for Mr. Morris is provided for in our Current Report on Form 10-Q for the quarterly period ending March 31, 2025, filed with the Securities and Exchange Commission on May 15, 2025, which is incorporated herein by reference.

Mr. Morris has material direct or indirect interests in transactions with us over the last two years, as provided for in our Current Report on Form 10-Q for the quarterly period ending March 31, 2025, filed with the Securities and Exchange Commission on May 15, 2025, which is incorporated herein by reference.
