Amendment Description	This Amendment No. 1 on Form 10-K/A (“Form 10-K/A”) to the Annual Report on Form 10-K of Premier, Inc. (the “Company”) for the fiscal year ended June 30, 2025, originally filed with the Securities and Exchange Commission on August 19, 2025 (the “Original Filing”), is being filed solely for the purpose of including the information required by Part III of Form 10-K that we did not include in the Original Filing in reliance on General Instruction G(3) of Form 10-K. We are filing this Form 10-K/A pursuant to General Instruction G(3) of Form 10-K to include Part III information in our Form 10-K because we do not intend to file a definitive proxy statement for an annual meeting of shareholders containing such information within 120 days after the end of our fiscal year ended June 30, 2025.In addition, in connection with the filing of this Form 10-K/A and pursuant to the rules of the Securities and Exchange Commission (“SEC”), we are including with this Form 10-K/A new certifications of our principal executive officer and principal financial officer pursuant to Section 302 of the Sarbanes-Oxley Act of 2002. Item 15 of Part IV has also been amended to reflect the filing of these new certifications.Except as described above, no other changes have been made to the Original Filing. This Form 10-K/A continues to speak as of the date of the Original Filing, and the Company has not updated the disclosures contained therein to reflect any events that occurred at a date subsequent to the date of the Original Filing, except for information set forth herein expressly stated to be as of a date which is subsequent to the date of the Original Filing. The filing of this Form 10-K/A is not a representation that any statements contained in the Company’s 2025 Annual Report on Form 10-K are true and complete as of any date other than the date of the Original Filing.
