Item 8.01 Other Events.

On November 19, 2024, Village Bank and Trust Financial Corp. issued a press release announcing that its board of directors declared a quarterly cash dividend of $0.18 per common share. The dividend will be payable on December 6, 2024, to shareholders of record as of November 29, 2024.

A copy of the press release is attached as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
