Item 2.02 Results of Operations and Financial Condition.

On May 27, 2009, we issued a press release announcing our plans to cease operations of the Company, terminate eight employees and initiate an unpaid furlough for its remaining employees, effective immediately. The company expects to file for Bankruptcy early next week absent a suitable alternative. The Company’s Board of Directors has formed an executive committee, comprised of two independent directors and one non-independent director, to explore its strategic alternatives. The press release is furnished herewith as Exhibit 99.1.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Particle Drilling Technologies, Inc. (the “Company”) announced that Jason D. Davis has departed his position as Vice President and interim Chief Financial Officer, effective May 27, 2009. This departure was the result of the Company's decision to cease operations.
