(c) On August 15, 2025, Daniel P. McGahn, Chairman, President and Chief Executive Officer, adopted a Rule 10b5-1 trading arrangement that is intended to satisfy the affirmative defense of Rule 10b5-1(c) for the sale of up to 111,205 shares of the Company’s common stock until the earlier of (i) August 14, 2026, or (ii) the date in which all shares under the trading arrangement are sold.

On August 15, 2025, John W. Kosiba, Jr., Senior Vice President, Chief Financial Officer and Treasurer, adopted a Rule 10b5-1 trading arrangement that is intended to satisfy the affirmative defense of Rule 10b5-1(c) for the sale of up to 48,512 shares of the Company’s common stock until the earlier of (i) August 14, 2026, or (ii) the date in which all shares under the trading arrangement are sold.
