Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On April 11, 2008, Ferrellgas Inc, as general partner of Ferrellgas L.P. executed a first amendment to its Fifth Amended and Restated Credit Agreement which increased the borrowing capacity available under the unsecured bank credit facility from $375.0 million to $448.0 million. The unsecured $448.0 million bank credit facility is available for working capital, acquisitions, capital expenditures, long-term debt repayments, and general partnership purposes and will terminate on April 22, 2010, unless extended or renewed.
