ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION

On or about February 20, 2009, the Registrant amended its Articles of Incorporation ("Amended Articles") to increase the number of authorized common share from 200 million to 3 billion. The Registrant received authorization from its majority shareholder and its Board of Directors. The Amended Articles are hereby attached as Exhibit 3.1

The Registrant currently has 165,537,209 issued and outstanding shares of common stock that trade on the "Pinksheets - Other OTC" quotation market under the symbol "GDHI".
