Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Peter Rossbach has stepped down from the Board of Directors with effect from June 24, 2025.

Mr. Rossbach's resignation did not result from any disagreement with the Company regarding policies, practices, or otherwise, and the Board wish to thank him for his work over the past four and a half years.

Item 7.01. Regulation FD Disclosure

The Company announces it has secured loan financing equivalent to approximately US$2.6 million, repayable in 24 months.
