Regulation FD Disclosure

On August 14, 2025, Eagle Materials Inc., a Delaware corporation (“Eagle”), announced the dual listing of its common stock on NYSE Texas, the newly launched fully electronic equities exchange headquartered in Dallas, Texas. A copy of Eagle’s press release announcing this development is being furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
