Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 16, 2020, John L. Foster notified the Board of Directors of Pinnacle Bankshares Corporation (the “Company”) of his decision to resign as a director of the Company and the Company’s wholly-owned subsidiary, First National Bank (Altavista, Virginia), effective December 31, 2020. The Board of Directors appreciates Mr. Foster’s service to the Company and to Virginia Bank Bankshares, Inc., which merged into the Company effective October 30, 2020. Mr. Foster’s resignation is due to personal reasons and not any disagreement with the Company.
