Item 1.01

Entry Into a Material Definitive Agreement.

On December 20, 2018, Atlas Energy Group, LLC (the “Company”), together with New Atlas Holdings, LLC, Atlas Lightfoot, LLC and Titan Energy Management, LLC, entered into the Eleventh Amendment to Credit Agreement (the “Amendment”) with Riverstone Credit Partners, L.P., as administrative agent, and the lenders under the first lien credit agreement (the “First Lien Facility”).

Pursuant to the Amendment, the maturity date under the First Lien Facility was extended from December 31, 2018 until March 31, 2019.

This summary of the Amendment does not purport to be complete and is subject to, and qualified in its entirety by, the full text of the Amendment, which is filed as Exhibit 10.1 to this Current Report on Form 8-K.
