Entry into a Material Definitive Agreement

On September 24, 2004, the Loan and Security Agreement between Resorts International Hotel, Inc. and Commerce Bank, N.A. was amended to extend the Revolving Credit Maturity Date from December 31, 2004 to June 30, 2005 and increase the L/C Commitment from $2,500,000 to $5,500,000.
