This Amendment No. 20 to Schedule 13D relates to the common stock, par value $0.02 per share ("Common Stock"), of Rewards Network Inc., a Delaware corporation located at Two North Riverside Plaza, Suite 950, Chicago, Illinois 60606 (the "Issuer").

ITEM 3. Source and Amount of Funds or Other Consideration

Item 3 is hereby amended by restating the second paragraph under “The Acquisition of the Issuer” in its entirety as follows:

The Reporting Persons estimate that the total amount of funds required to consummate the transactions contemplated by the Merger Agreement, including the acquisition of all the outstanding shares of Common Stock pursuant to the Tender Offer and the Merger and the fees and expenses of the transaction, will be approximately $136 million in cash.
