Item 3. Source and Amount of Funds or Other Consideration.

Funds required of GSOT to exchange the Series D preferreed, Series D-2 preferred, Series F preferred and all warrants into the subject securities was $1,000,000, obtained from the working capital of GSOT.

GSOT acquired the shares in the ordinary course of its business for investment purposes. Russell Cleveland, President of RENN Capital Group, Inc., serves on the board of directors for this company.
