Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

Effective as of November 13, 2009, Richard A. Smith resigned as Chairman of the Board of Directors and Chief Operating Officer of Aria International Holdings, Inc. (the “Company”). Mr. Smith also resigned his employment with any and all subsidiaries and other affiliates of the Company of which he was employed.
