Item 8.01 Results of Operations and Financial Condition.

On November 14, 2018, the Board of Directors of the VII Peaks Co-Optivist Income BDC II, Inc. (the “Company”) held its quarterly meeting, at which the disinterested members of the Board of Directors unanimously reapproved the Administration Agreement with VII Peaks Capital, LLC, the Manager of the Company.
