Item 2.02.

Results of Operations and Financial Condition.

On May 15, 2015, China Education Alliance, Inc., a North Carolina corporation (the “Company”), announced its results of operations for the first quarter ended March 31, 2015. A copy of the press release is annexed as Exhibit 99.1 hereto.
