Explanatory Note: This Amendment No. 1 on Form 8-K/A to Fushi Copperweld, Inc.’s current report on Form 8-K, filed with the Securities and Exchange Commission on August 13, 2012 (the “Original Filing”), is being filed solely to include a conformed signature on the signature page of the Original Filing. No other changes have been made to the Original Filing (other than the addition of this explanatory note).

On August 9, 2012, Fushi Copperweld, Inc. issued a press release announcing financial results for the quarter ended June 30, 2012. The full text of the press release is set forth in Exhibit 99.1 attached hereto.
