Item 1.01 Entry into a Material Definitive Agreement

On March 21, 2011, New Generation Biofuels Holdings, Inc. (the “Company”) received a sixty (60) day extension of the due date of a $1.0 million payment due March 21, 2011, under the Exclusive License Agreement dated March 20, 2006, as amended, between PTJ Bioenergy Holdings, Ltd. and the Company.
