Item 5.07 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On February 27, 2012, Mogul Energy International, Inc. (the “Company”), pursuant to approval granted by a majority of the shares voted at a special meeting held on February 15, 2012, filed a Restated Certificate of Incorporation with the Secretary of State of the State of Delaware to effect a one-for-five reverse stock split, with all fractional shares being rounded up to the nearest whole share. A copy of the Restated Certificate of Incorporation is attached hereto as Exhibit 3.1.
