EXPLANATORY NOTE

The Reporting Persons take the position that they no longer have beneficial ownership of any securities of the Issuer based on the following: (1) the Reporting Persons believe that the Issuer no longer has any operations and no longer has a legal existence; (2) the Issuer has not made any EDGAR filings since October 25, 2013; (3) the Reporting Persons do not have voting power over any securities of the Issuer because there are no longer any matters on which to vote; (4) the Reporting Persons do not have dispositive power over any securities of the Issuer as there is no ability to dispose of such securities; and (5) the Reporting Persons have written down to zero their investment in securities of the Issuer. The Reporting Persons are making this “exit” filing to reflect the foregoing in the public record.
