ITEM 7.01 REGULATION FD DISCLOSURE

On April 13, 2011, Pengram Corporation (the “Company”) acquired a 30-day exclusive right to negotiate with Development Resources LLC, a Delaware limited liability company, for the acquisition of 54 mineral claims located in Elko County, Nevada. The Company paid $10,000 to Development Resources LLC to acquire the exclusive right.

There are no assurances that the Company will complete the acquisition of the 54 mineral claims.
