The following constitutes Amendment No. 7 to the Schedule 13D filed by the undersigned (“Amendment No. 7”). This Amendment No. 7 amends the Schedule 13D as specifically set forth herein.

Item 2.

Identity and Background.

Item 2(b) is hereby amended and restated to read as follows:

The address of the principal office of each of Engaged Capital Flagship Master and Engaged Capital Offshore is c/o Conyers Trust Company (Cayman) Limited, Cricket Square, Hutchins Drive, P.O. Box 2681, Grand Cayman KY1-1111, Cayman Islands. The address of the principal office of each of Engaged Capital Fund, Engaged Capital, Engaged Holdings and Mr. Welling is 610 Newport Center Drive, Suite 950, Newport Beach, California 92660.

Item 4.

Purpose of Transaction.

Item 4 is hereby amended to add the following:

On June 20, 2023, the Issuer entered into an Agreement and Plan of Merger (the “Merger Agreement”) with CB Neptune Holdings, LLC (“Parent”) and NRS Merger Sub Inc. (“Merger Sub”). The Merger Agreement provides that, subject to the terms and conditions set forth in the Merger Agreement, Merger Sub will merge with and into the Issuer (the “Merger”), with the Issuer continuing as the surviving corporation of the Merger and a wholly owned subsidiary of Parent. Under the terms of the Merger Agreement, the Issuer’s stockholders will receive $4.00 per Share in cash. Completion of the Merger is subject to customary closing conditions, including (i) the adoption of the Merger Agreement by the holders of a majority of the outstanding Shares, (ii) the expiration or early termination of the applicable waiting period (and any extension thereof) under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 and other applicable antitrust laws, and (iii) the absence of an order or law preventing the Merger.

On June 20, 2023, in connection with the execution of the Merger Agreement, the Reporting Persons entered into a voting agreement (the “Voting Agreement”) with Parent and Merger Sub. Pursuant to the Voting Agreement, the Reporting Persons agreed to vote the Shares beneficially owned by them, in respect of which they are entitled to vote or instruct the voting, in favor of the adoption of the Merger Agreement and certain other matters. The Voting Agreement terminates in certain circumstances, including upon the valid termination of the Merger Agreement in accordance with its terms, in the event that the Issuer’s Board of Directors withdraws its recommendation that the Issuer’s stockholders vote to adopt the Merger Agreement in connection with a Superior Proposal (as defined in the Merger Agreement) and upon mutual consent of the parties to the Voting Agreement. The Voting Agreement restricts the Reporting Persons from transferring Shares to any person that the Reporting Persons are aware intends to vote against the adoption of the Merger Agreement or transactions contemplated by the Merger Agreement.

The foregoing description of the Voting Agreement does not purport to be complete and is qualified in its entirety by reference to the Voting Agreement, which is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
