Section 2 – Financial Information

Item 2.01 Completion of Acquisition or Disposition of Assets.

On February 9, 2023, the Company sold its 40% interest in a former Sports Authority and a Biomat clinic in Wichita, Kansas to 6959 Wichita LLC, an unrelated third party. The Partnership received net cash proceeds of approximately $944,000 for the property, which resulted in a net gain of approximately $23,000.

(a) Financial statements of businesses acquired – Not Applicable.

(b) Pro forma financial information – A limited number of pro forma adjustments are required to illustrate the effects of the transaction on the balance sheet and income statement. The following narrative description is furnished in lieu of pro forma statements. Assuming the Company had sold the property on January 1, 2021:

The Company’s Investments in Real Estate would have been reduced by $1,530,103 and its Current Assets (cash) would have increased by $944,000 and Members’ Equity would have increased by $586,103.

For the year ended December 31, 2021, Income from Operations would have increased $47,751, representing a decrease in rental income of $37,071, a decrease in depreciation and amortization expense of $49,940, and a decrease in property management expenses of $34,882. For the nine months ended September 30, 2022, Income from Operations would have increased $35,311, representing a decrease in rental income of $27,804, a decrease in depreciation and amortization expense of $37,455 and a decrease in property management expenses of $25,660.

The net effect of these pro forma adjustments would have caused Net Income to increase from $441,656 to $489,407 and from $2,111,534 to $2,146,845, which would have resulted in Net Income of $.21 and $1.23 per Limited Partnership Unit outstanding for the year ended December 31, 2021 and the nine months ended September 30, 2022, respectively.

(d) Exhibit 10.1 – Purchase and Sale Agreement dated September 13, 2022 and the First Amendment dated November 10, 2022 between the Partnership and Zi Qian Zhang, with the Assignment of Purchase and Sale Agreement dated January 26, 2023 between Zi Qian Zhang and 6959 Wichita LLC, relating to the property at 6959 E. 21^st Street, Wichita, Kansas.
