Item 8.01. Other Events

On May 11, 2014, Appalachian Power Company (the “Company”) entered into an Underwriting Agreement with Goldman, Sachs & Co., U.S. Bancorp Investments, Inc., and Wells Fargo Securities, LLC (collectively, the “Underwriters”), relating to the offering and sale by the Company of (i) $300,000,000 aggregate principal amount of 3.400% Senior Notes, Series V, due 2025 and (ii) $350,000,000 aggregate principal amount of 4.450% Senior Notes, Series W, due 2045 (collectively, the “Notes”).
