Item 8.01

Other Events.

The 2023 annual meeting of stockholders (the “Annual Meeting”) of DMK Pharmaceuticals Corporation (the “Company”), originally convened on November 9, 2023, was reconvened virtually on November 30, 2023. The Company adjourned the Annual Meeting again to allow additional time for the Company to solicit additional proxies and votes to establish a quorum for the conduct of business at the Annual Meeting and additional time for stockholders to vote on the proposals described in the Company’s notice of meeting and definitive proxy statement filed with the Securities and Exchange Commission (the “SEC”) on October 12, 2023 (the “Proxy Statement”).

The adjourned Annual Meeting will reconvene on December 28, at 9:00 a.m., Pacific Time. The adjourned Annual Meeting will be a completely “virtual” meeting of stockholders, and stockholders will be able to listen and participate in the virtual meeting as well as vote during the live webcast of the meeting by visiting www.virtualshareholdermeeting.com/DMK2023. To participate in the virtual Annual Meeting, stockholders will need the control number found on their proxy cards or in the instructions that accompanied their proxy materials. Only stockholders of record on the record date of October 6, 2023, are entitled to vote.
