Item 62. Legal ~~Significant Obligors of Pool Assets~~Proceedings.

~~The~~Wells ~~Shoppes~~Fargo atBank: In ~~Buckland~~December ~~Hills~~2014, ~~mortgage loan~~Phoenix ~~constitutes~~Light aSF ~~significant~~Limited ~~obligor~~and ~~within~~certain related entities and the ~~meaning~~National ofCredit ~~Item~~Union Administration ~~1101~~(kNCUA)~~(2)~~ filed complaints in the United States District Court for the Southern District of New York against Wells Fargo Bank, alleging claims ~~Regulation~~against ABWells ~~and~~Fargo Bank in its capacity as ~~disclosed~~trustee for a number of residential mortgage-backed securities trusts. Complaints raising similar allegations have been filed by Commerzbank AG in the ~~Prospectus~~Southern ~~Supplement~~District ~~for~~of ~~Morgan~~New ~~Stanley~~York and by IKB ~~Capital~~International Iand ~~Trust~~IKB ~~2012-C4~~Deutsche Industriebank in New York state court. In ~~accordance~~each case, ~~with~~the ~~Item~~plaintiffs ~~1112(b)~~allege that Wells Fargo Bank, as trustee, caused losses to investors, and plaintiffs assert causes of ~~Regulation~~action ABbased upon, among other things, the trustee’s alleged failure to notify and enforce repurchase ~~most~~obligations ~~recent~~of ~~unaudited~~mortgage ~~net~~loan ~~operating~~sellers ~~income~~for purported breaches of representations and warranties, notify investors of alleged events of default, and abide by appropriate standards of care following alleged events of default. Wells Fargo Bank previously settled two class action lawsuits with similar allegations that were filed in November 2014 and December 2016 by institutional investors in the Southern ~~significant~~District ~~obligor~~of ~~was~~New York and New York state court, respectively. In $1addition,~~270~~ Park Royal I LLC and Park Royal II LLC have filed complaints in New York state court alleging Wells Fargo Bank,~~152~~ N.00A., aas ~~year-~~trustee, failed to~~-date~~ ~~figure~~take appropriate ~~for~~actions ~~the~~upon ~~period~~learning of ~~January~~defective 1,mortgage ~~2021~~loan ~~through~~documentation. In March 312021, ~~2021~~the Company entered into an agreement to resolve the case filed by the NCUA.

~~Item~~In 10addition to the foregoing cases, in August 2014 and August 2015 Nomura Credit & Capital Inc. ~~Exhibits~~(“Nomura”) and Natixis Real Estate Holdings, LLC (“Natixis”) filed a total of seven third-party complaints against Wells Fargo Bank in New York state court. In the underlying first-party actions, Nomura and Natixis have been sued for alleged breaches of representations and warranties made in connection with residential mortgage-backed securities sponsored by them. In the third-party actions, Nomura and Natixis allege that Wells Fargo Bank, as master servicer, primary servicer or securities administrator, failed to notify Nomura and Natixis of their own breaches, failed to properly oversee the primary servicers, and failed to adhere to accepted servicing practices. Natixis additionally alleges that Wells Fargo Bank failed to perform default oversight duties. Wells Fargo Bank has asserted counterclaims alleging that Nomura and Natixis failed to provide Wells Fargo Bank notice of their representation and warranty breaches.
