Item 6.02 Change of Servicer or Trustee. Pursuant to Section 3.22 of the pooling and servicing agreement filed as Exhibit 4 to the Form 8-K filed by the Trust with the Securities and Exchange Commission on July 16, 2012 (the “Pooling and Servicing Agreement”) relating to the issuing entity known as UBS-Barclays Commercial Mortgage Trust 2012-C2 (the "Trust"), the Directing Holder under (and as defined in) the Pooling and Servicing Agreement, removed CWCapital Asset Management LLC ("CWCapital"), as special servicer under the Pooling and Servicing Agreement and appointed Rialto Capital Advisors, LLC, a Delaware limited liability company ("RCA"), as the replacement special servicer under the Pooling and Servicing Agreement. The removal of CWCapital as special servicer and appointment of RCA as replacement special servicer under the Pooling and Servicing Agreement is effective as of June 23, 2020. Initially cpaitalized terms used but not defined herein shall have the meanings set forth in the Pooling and Servicing Agreement.

Upon U.S. Bank Trust Co.’s succession to the business of U.S. Bank N.A., it became a wholly owned subsidiary of U.S. Bank N.A. As of ~~March~~June 3130, ~~2020~~2022, ~~RCM~~U.S. ~~has~~Bank ~~underwritten~~ (and ~~purchased,~~its ~~primarily~~affiliate ~~for~~U.S. ~~the~~Bank ~~Funds,~~Trust ~~over~~National ~~$7.6~~Association) ~~billion~~was inacting ~~face~~as ~~value~~trustee, ofregistrar ~~subordinate~~and ~~commercial mortgage-backed~~ securities ~~certificates~~administrator inon ~~approximately~~364 ~~119~~issuances ~~securitizations~~of ~~totaling~~commercial ~~approximately~~mortgage-backed ~~$125~~securities ~~billion~~with ~~in overall transaction size. RCM (or~~ an ~~affiliate)~~outstanding ~~has~~aggregate ~~the~~principal ~~right~~balance ~~to appoint the special servicer for each~~ of ~~these~~approximately ~~transactions~~$324,376,900,000.

~~Rialto~~U.S. ~~Management~~Bank ~~Group,~~N.A. ~~LLC,~~and ~~together~~other ~~with~~large ~~its~~financial ~~subsidiaries~~institutions ~~RCA~~have ~~and~~been ~~RCM~~sued ~~(excluding~~in ~~Stone~~their ~~Point~~capacity as trustee or successor trustee for certain residential mortgage-backed securities ("RMBS") trusts. The complaints, ~~had~~primarily ~~233~~filed ~~employees~~by investors or investor groups against U.S. Bank N.A. and similar institutions, allege the trustees caused losses to investors as a result of ~~March~~alleged 31failures by the sponsors, ~~2020~~mortgage ~~and~~loan issellers ~~headquartered~~and inservicers ~~Miami~~to comply with ~~offices~~the ~~located~~governing inagreements ~~New~~for ~~York~~these ~~City~~RMBS ~~and~~trusts. ~~Atlanta~~Plaintiffs ~~and~~generally ~~additional~~assert ~~offices~~causes ~~across~~of action based upon the ~~United~~trustees’ ~~States~~purported failures to enforce repurchase obligations of mortgage loan sellers for alleged breaches of representations and inwarranties, ~~Europe~~notify securityholders of purported events of default allegedly caused by breaches of servicing standards by mortgage loan servicers and abide by a heightened standard of care following alleged events of default.

~~RCA~~U.S. ~~has~~Bank ~~detailed operating policies and procedures which are reviewed at least annually and updated as appropriate~~N.A. ~~These~~denies ~~policies~~liability and ~~procedures~~believes ~~for~~that ~~the~~it ~~performance~~has ofperformed its ~~special servicing~~ obligations ~~are,~~under ~~among other things, in compliance with~~ the ~~applicable~~RMBS ~~servicing~~trusts ~~criteria set forth~~ in ~~Item~~good ~~1122 of Regulation AB under the Securities Act. RCA has developed strategies and procedures for managing delinquent loans~~faith, ~~loans~~that ~~subject~~its toactions ~~bankruptcies~~were ofnot the ~~borrowers~~cause ~~and other breaches by borrowers~~ of ~~the~~losses ~~underlying~~to ~~loan~~investors, ~~documents~~ that ~~are~~it ~~designed~~has tomeritorious ~~maximize~~defenses, ~~value from the assets for the benefit of Certificateholders. These strategies~~ and ~~procedures~~it ~~vary~~has oncontested ~~a case by case basis,~~ and ~~include,~~intends ~~but are not limited~~ to, ~~liquidation~~continue ofcontesting the ~~underlying~~plaintiffs’ ~~collateral,~~claims ~~note~~vigorously. ~~sales~~However, ~~discounted~~U.S. ~~payoffs,~~Bank ~~and~~N.A. ~~borrower~~cannot ~~negotiation~~assure oryou ~~workout~~as into ~~accordance with~~ the ~~related~~outcome ~~servicing~~of ~~standard. The strategy pursued by RCA for~~ any ~~particular~~of ~~property~~the ~~depends upon~~litigation, ~~among~~or ~~other things,~~ the ~~terms~~possible ~~and~~impact ~~provisions~~ of ~~the~~these ~~underlying~~litigations ~~loan~~on ~~documents,~~ the ~~jurisdiction~~trustee ~~where~~or the ~~underlying~~RMBS ~~property is located and the condition and type of underlying property~~trusts. ~~Standardization and automation have been pursued, and continue to be pursued, wherever possible so as to provide for continued accuracy, efficiency, transparency, monitoring and controls.~~

~~RCA~~On isMarch ~~subject~~9, 2018, a law firm purporting to anrepresent ~~annual~~fifteen ~~external~~Delaware ~~audit.~~statutory Astrusts ~~part~~(the “DSTs”) that issued securities backed by student loans (the “Student Loans”) filed a lawsuit in the Delaware Court of ~~such~~Chancery ~~external~~against ~~audit~~U.S. Bank N.A. in its capacities as indenture trustee and successor special servicer, ~~auditors~~and ~~perform~~three ~~test~~other ~~work~~institutions in their respective transaction capacities, with respect to the DSTs and ~~review~~the ~~internal~~Student ~~controls~~Loans. ~~throughout~~This lawsuit is captioned The National Collegiate Student Loan Master Trust I, et al. v. U.S. Bank National Association, et al., C.A. No. 2018-0167-JRS (Del. Ch.) (the ~~year~~“NCMSLT Action”). ~~While~~The ~~RCA~~complaint, ~~was~~as amended on June 15, 2018, alleged that the DSTs have been harmed as a ~~part~~result of ~~Lennar~~purported misconduct or omissions by the defendants concerning administration of the trusts and special servicing of the Student Loans. Since the filing of the NCMSLT Action, ~~RCA~~certain ~~was~~Student ~~determined~~Loan borrowers have made assertions against U.S. Bank N.A. concerning special servicing that appear to be ~~Sarbanes-Oxley~~based ~~compliant~~on certain allegations made on behalf of the DSTs in the NCMSLT Action.

~~RCA~~U.S. ~~maintains~~Bank N.A. has filed a ~~web-based~~motion ~~asset~~seeking ~~management~~dismissal ~~system~~of ~~that~~the ~~contains~~operative ~~performance~~complaint ~~information~~in atits ~~the~~entirety ~~portfolio,~~with ~~loan~~prejudice pursuant to Chancery Court Rules 12(b)(1) and ~~property~~12(b)(6) ~~levels~~or, onin the ~~various~~alternative, ~~loan~~a stay of the case while other prior filed disputes involving the DSTs and ~~REO~~the ~~assets~~Student ~~that~~Loans itare ~~services~~litigated. ~~Additionally~~On November 7, ~~RCA~~2018, ~~has~~the aCourt ~~formal~~ruled that the case should be stayed in its entirety pending resolution of the first-filed cases. On January 21, ~~documented~~2020, ~~disaster~~the ~~recovery~~Court entered an order consolidating for pretrial purposes the NCMSLT Action and ~~business~~three ~~continuity~~other ~~plan~~lawsuits pending in the Delaware Court of Chancery concerning the DSTs and the Student Loans, which remains pending.

AsU.S. ofBank ~~March~~N.A. ~~31,~~denies ~~2020,~~liability ~~RCA~~in the NCMSLT Action and believes it has performed its ~~affiliates~~obligations ~~were~~as ~~actively~~indenture ~~special~~trustee ~~servicing~~and ~~approximately~~special ~~220~~servicer ~~portfolio~~in ~~loans~~good (faith and ~~REO~~in ~~properties)~~compliance ~~with~~in anall ~~unpaid~~material ~~principal~~respects ~~balance~~with the terms of ~~approximately~~the $3agreements governing the DSTs and that it has meritorious defenses.37 ~~billion~~It ~~(see~~has ~~footnote~~contested 2and intends to continue contesting the ~~chart~~plaintiffs’ ~~below)~~claims vigorously.

~~RCA~~Under isthe ~~also~~terms ~~currently~~of ~~performing~~the ~~special~~Pooling ~~servicing~~and ~~for~~Servicing ~~approximately~~Agreement, ~~121~~U.S. ~~commercial~~Bank ~~real~~Trust ~~estate securitizations~~Co. ~~With~~is ~~respect~~responsible tofor ~~such~~securities ~~securitization transactions~~administration, ~~RCA~~which isincludes ~~administering~~pool ~~approximately~~performance 7calculations,~~990~~ ~~assets~~distribution ~~with~~calculations and the preparation of monthly distribution reports. The distribution reports will be reviewed by an ~~unpaid~~analyst ~~principal~~and ~~balance~~then atby ~~securitization~~a ofsupervisor ~~approximately~~using ~~$126~~a transaction-specific review spreadsheet.0 ~~billion~~Any corrections identified by the supervisor will be corrected by the analyst and reviewed by the supervisor. The ~~asset~~supervisor ~~pools~~also ~~specially~~will ~~serviced~~be byresponsible ~~RCA~~for ~~include~~the ~~residential,~~timely ~~multifamily/condo,~~delivery ~~office,~~of ~~retail,~~reports ~~hotel,~~to ~~healthcare~~the administration unit for processing all cashflow items. As securities administrator, ~~industrial~~U.S. Bank Trust Co. is also responsible for the preparation and filing of all REMIC tax returns on behalf of the issuing entity and the preparation of monthly reports on Form 10-D, ~~manufactured~~certain ~~housing~~current reports on Form 8-K and ~~other~~annual ~~income~~reports on Form 10-~~producing~~K ~~properties~~that asare ~~well~~required asto ~~residential~~be filed with the Securities and Exchange Commission on behalf of the issuing entity. In the past three years, the securities administrator has not made material changes to the policies and procedures of its securities administration services for commercial ~~land~~mortgage-backed securities.

~~The~~U.S. ~~table~~Bank ~~below~~N.A. ~~sets~~will ~~forth~~act ~~information~~as ~~about~~Custodian ~~RCA’s~~of ~~portfolio~~the ofmortgage ~~specially~~files ~~serviced~~pursuant ~~commercial~~to the Pooling and ~~multifamily~~Servicing Agreement. As Custodian, U.S. Bank N.A. is responsible for holding the mortgage ~~loans~~files ~~and~~on ~~REO~~behalf ~~properties~~of the Trustee. U.S. Bank N.A. will hold the Loan Documents in ~~commercial~~a custodial vault located in 1133 Rankin Street, Suite 100, St. Paul, MN 55116. The mortgage~~-backed~~ ~~securitization~~files ~~transactions~~are tracked electronically to identify that they are held by the Custodian pursuant to the Pooling and Servicing Agreement. U.S. Bank N.A. uses a barcode tracking system to track the location of, and owner or secured party with respect to, each file that it holds as Custodian, including the mortgage files held as on behalf of the ~~dates~~Trustee. ~~indicated:~~As of June 30, 2022, U.S. Bank held approximately 12,681,000 document files for approximately 980 entities and has been acting as a custodian for over 35 years.

In its capacity as the special servicer, RCA will not have primary responsibility for custody services of original documents evidencing the underlying mortgage loans. RCA may from time to time have custody of certain of such documents as necessary for enforcement actions involving particular underlying mortgage loans or otherwise. To the extent that RCA has custody of any such documents for any such servicing purposes, such documents will be maintained in a manner consistent with the applicable servicing standard under the Pooling and Servicing Agreement.

RCA does not have any material advancing rights or obligations with respect to the commercial mortgage-backed securities pools as to which it acts as special servicer. In certain instances RCA may have the right or be obligated to make property related servicing advances in emergency situations with respect to certain commercial mortgage-backed securities pools as to which it acts as special servicer.

There are, to the actual current knowledge of RCA, no special or unique factors of a material nature involved in special servicing the particular types of assets included in this securitization transaction, as compared to the types of assets specially serviced by RCA in other commercial mortgage-backed securitization pools generally, for which RCA has developed processes and procedures which materially differ from the processes and procedures employed by RCA in connection with its special servicing of commercial mortgage-backed securitization pools generally. There have not been, during the past three years, any material changes to the policies or procedures of RCA in the servicing function it will perform under the Pooling and Servicing Agreement for assets of the same type included in this securitization transaction.

No securitization transaction in which RCA was acting as special servicer has experienced a servicer event of default as a result of any action or inaction of RCA as special servicer, including as a result of a failure by RCA to comply with the applicable servicing criteria in connection with any securitization transaction. RCA has not been terminated as special servicer in any securitization, either due to a servicing default or the application of a servicing performance test or trigger. RCA has made all advances required to be made by it under the servicing agreements related to the securitization transactions in which RCA is acting as special servicer. There has been no previous disclosure of material noncompliance with the applicable servicing criteria by RCA in connection with any securitization in which RCA was acting as special servicer.

RCA does not believe that its financial condition will have any adverse effect on the performance of its duties under the Pooling and Servicing Agreement and, accordingly, RCA believes that its financial condition will not have any material impact on the Mortgage Pool performance or the performance of the certificates.

From time to time RCA is a party to lawsuits and other legal proceedings as part of its duties as a loan servicer (e.g., enforcement of loan obligations) and/or arising in the ordinary course of business. RCA does not believe that any such lawsuits or legal proceedings would, individually or in the aggregate, have a material adverse effect on its business or its ability to service loans pursuant to the Pooling and Servicing Agreement. There are currently no legal proceedings pending, and no legal proceedings known to be contemplated by governmental authorities, against RCA or of which any of its property is the subject, that are material to the Certificateholders.

RCA occasionally engages consultants to perform property inspections and to provide surveillance on a property and its local market; it currently does not have any plans to engage sub-servicers to perform on its behalf any of its duties with respect to this transaction with the exception of some outsourced base servicing functions.

In the commercial mortgage-backed securitizations in which RCA acts as special servicer, RCA may enter into one or more arrangements with any party entitled to appoint or remove and replace the special servicer to provide for a discount and/or revenue sharing with respect to certain of the special servicer compensation in consideration of, among other things, RCA’s appointment as special servicer under the applicable servicing agreement and limitations on such person’s right to replace RCA as the special servicer.

From time to time, RCA and/or its affiliates may purchase securities, including CMBS certificates. RCA and/or its affiliates may purchase certificates issued by the issuing entity in the secondary market. Any such party will have the right to dispose of such certificates at any time.
