Item 8.01. Other Events.

On September 22, 2025, at 5:00 PM, eastern time, the warrants exercisable for one share of common stock, at an exercise price of $4.15, issued by Nexalin Technology, Inc. (the “Company”), in connection with the initial public offering that closed on September 20, 2025, expired by their terms. The Nasdaq Stock Market filed a Form 25 with the Securities and Exchange Commission to indicate that the warrants had expired and were delisted.

The common stock of the Company will continue to trade on the Nasdaq Capital Market under the symbol NXL.
