Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Resignations of Richard Klee as Chief Operating Officer and Manny Foutoulis as Treasurer

On July 12, 2019, Richard Klee and Manny Foutoulis each submitted a resignation from his position as Chief Operating Officer and Treasurer, respectively, of First Capital Real Estate Trust Incorporated (the “Company”), to the Board of Directors of the Company, effective as of the same date. Each of Mr. Klee and Mr. Foutoulis will continue in his capacity as an employee of the Company.
