Item 8.01 Other Events.

On November 4, 2025, the Board of Directors of Franklin Wireless Corp. (the “Company”) declared a cash dividend of $0.04 per share of the Company’s common stock. The dividend is payable on December 2, 2025 to stockholders of record as of November 14, 2025.

The declaration and payment of any future dividends will be at the discretion of the Board of Directors and will depend upon the Company’s financial condition, results of operations, capital requirements, and other factors the Board of Directors deems relevant.
