- [F2]In addition to the RSUs described in footnote 1, the Company also granted 51,429 performance-based RSUs that become subject to vesting based upon the Company's actual Adjusted EBITDA for 2020 relative to an Adjusted EBITDA goal. If a minimum Adjusted EBITDA target is not met, no RSUs will become subject to vesting. If the vesting thresholds are met, and depending upon the threshold, a minimum of 40%, and a maximum of 160%, of the RSUs subject to the award will become subject to vesting.
