Item 8.01. Other Events.

As previously announced, Distoken Acquisition Corporation (“Distoken” or the “Company”) has scheduled its extraordinary general meeting of shareholders at 10:00 a.m. Eastern time on May 30, 2025 to consider and approve, among other things, the previously announced business combination (the “Business Combination”) with Youlife Group Inc. (“Pubco”) and Youlife International Holdings Inc. (“Youlife”).

In connection with the Business Combination, Pubco has filed with the Securities and Exchange Commission (the “SEC”) a registration statement on Form F-4, as amended (the “Registration Statement”), which includes a definitive proxy statement of Distoken and a definitive prospectus of Pubco, which Registration Statement was declared effective by the SEC on March 31, 2025. On May 9, 2025, Pubco filed a post-effective amendment to the Registration Statement, which was declared effective on May 14, 2025. On May 16, 2025, Distoken filed its Quarterly Report on Form 10-Q containing its unaudited financial statements for the quarter ended March 31, 2025 (the “Form 10-Q”), which report has been filed as part of a prospectus supplement of Pubco on May 19, 2025.

The Form 10-Q is included in this Current Report on Form 8-K as Exhibit 99.1.

Additional Information About the Business Combination and Where to Find It

This Current Report on Form 8-K relates to a proposed Business Combination between Distoken and Youlife. In connection with the Business Combination, Pubco has filed with the SEC the Registration Statement, which includes a definitive proxy statement of Distoken and a definitive prospectus of Pubco, which Registration Statement was declared effective by the SEC on March 31, 2025 and May 14, 2025.
