Item 8.01. Other Events.

Postponement of Extraordinary General Meeting of Shareholders

On May 16, 2025, Distoken Acquisition Corporation (“Distoken” or the “Company”) announced that the extraordinary general meeting of shareholders called by the Company (the “Meeting”), which was scheduled for 10:00 a.m. Eastern time on Wednesday, May 21, 2025, is being further postponed to 10:00 a.m. Eastern time on May 30, 2025. At the Meeting, shareholders will be asked to consider and approve, among other things, the previously announced business combination (the “Business Combination”) with Youlife Group Inc. and Youlife International Holdings Inc. (“Youlife”).

As a result of this change, the deadline for holders of the Company’s ordinary shares issued in the Company’s initial public offering (the “Public Shares”) to submit their shares for redemption in connection with the Meeting, is being extended to 5:00 p.m., Eastern time, on May 28, 2025. Any shareholder who has previously tendered its shares for redemption and now decides that it does not wish to redeem its shares, may withdraw the tender any time until the Meeting and, thereafter, with the Company’s consent. Shareholders that have delivered their shares for redemption to the transfer agent and decide prior to the vote at the Meeting (now scheduled for 10:00 a.m. Eastern time on May 30, 2025) not to redeem their Public Shares, may request that the Company’s transfer agent, Continental Stock Transfer & Trust Company, return the shares (physically or electronically).

The Company plans to continue to solicit proxies from shareholders during the period prior to the Meeting. Only the holders of the Company’s ordinary shares as of the close of business on March 27, 2025, the record date for the Meeting, are entitled to vote at the Meeting.

This Current Report on Form 8-K relates to a proposed Business Combination between Distoken and Youlife.
