Item 2.02 Results of Operations and Financial Condition.

On April 15, 2025, Pioneer Power Solutions, Inc. issued a press release announcing its final financial results for the fourth quarter and full year ended December 31, 2024. A copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
