Item 2.02 Results of Operations and Financial Condition.

On November 11, 2025, Black Rock Coffee Bar, Inc. (the “Company”) announced its financial results for the three and nine months ended September 30, 2025. The full text of the press release issued by the Company in connection with the announcement is furnished as Exhibit 99.1 to this Current Report on Form 8-K (this “Current Report”).

Also on November 11, 2025, the Company held a previously announced conference call to discuss its financial results for the three and nine months ended September 30, 2025. A transcript of the conference call is furnished as Exhibit 99.2 to this Current Report.
