Item 8.01 – Other Events.

On March 14, 2025, Blue Owl Technology Finance Corp. II’s (“OTF II”) board of directors declared a dividend of $0.31 per share payable on or before March 18, 2025 to shareholders of record as of March 17, 2025. The dividend is equal to OTF II’s undistributed taxable income estimated to be remaining as of the closing of the proposed merger with Blue Owl Technology Finance Corp. (“OTF”). The closing of the merger is expected to occur promptly after the vote at the shareholder meetings currently scheduled for March 20, 2025, assuming that the transaction is approved by OTF and OTF II shareholders.
