(~~STSHC~~the “Company”) ~~appointed~~terminated ~~Mr.~~Morrison ~~Frank~~Brown, ~~Dunbar~~Argiz ~~and~~& MrFarra LLC (MBAF) as the Company’s independent registered public accounting firm. MBAF ~~Victor~~reported ~~Casado~~on the Company’s financial statements for Southern Trust Securities, Inc. as ~~Directors~~of the year ended December 31, 2013, did not contain an adverse opinion or a disclaimer of opinion and were not qualified or modified as to ~~its~~uncertainty, ~~board~~audit scope or accounting principles.

~~Mr.~~The ~~Dunbar~~decision ~~rejoined~~to ~~Southern~~change ~~Trust~~accountants ~~Securities,~~was ~~Inc.~~approved onby ~~October~~a ~~21,~~majority ~~2013~~of as the ~~firm'~~Company’s ~~Controller.~~Board ~~Mr. Dunbar has been a licensed Certified Public Accountant for over 30 years and attained his accounting degree from the University~~ of ~~South Carolina~~Directors. ~~Prior to working with STS and affiliates, Mr. Dunbar has served as Chief Financial Officer for several banks in both the securities industry and public accounting.~~

(b) Effective October 2, 2014, the Company engaged Roth, Jonas, Mittelberg, & Hartney, CPA’s P.A. as the Company’s independent registered public accounting firm.
