- [F1]Pursuant to the Agreement and Plan of Merger (the "Merger Agreement"), dated as of June 2, 2015, between Building Materials Holding Corporation ("BMC") and Stock Building Supply Holdings, Inc. ("SBS"), BMC merged with and into SBS (the "Merger"), with SBS surviving the Merger. Following the Merger, SBS amended its name to BMC Stock Holdings, Inc. Pursuant to the terms of the Merger Agreement, each share of BMC common stock was converted into the right to receive 0.5231 fully paid and nonassessable shares of SBS common stock and cash in lieu of fractional shares of SBS common stock.
- [F2]Kinderoaks Family LLC ("Kinderoaks") is the beneficial owner of 71,095 shares of common stock in the Issuer. Mr. Alexander, who is a Manager of Kinderoaks, has shared voting and dispositive power of such reported securities.
