Both Holdco and NSAM FV are wholly-owned subsidiaries of Colony Capital Operating Company, LLC ("CCOC"), which is a majority-owned subsidiary of Colony NorthStar, Inc.("CLNS"). The transfer represented a distribution from Holdco to CCOC and a capital contribution by CCOC to NSAM FV. No consideration was paid to or received by Holdco in connection with the transfer.
