On August 25, 2025, the registrant issued a press release to report results for the fourth quarter and fiscal year ended June 30, 2025. This press release is furnished as Exhibit 99.1.

On August 21, 2025, the Company’s Board of Directors declared a cash dividend of $.14 per share payable on October 3, 2025, to stockholders of record on September 12, 2025. Information regarding this declaration is included in the press release furnished as Exhibit 99.1.
