Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 14, 2024, each of Charles Austin, Saraswathy V. Nochur, Ph.D. and Sarah Noonberg, M.D., Ph.D., resigned from the Board of Directors of Marinus Pharmaceuticals, Inc. (the “Company”), effective immediately. Mr. Austin’s, Dr. Nochur’s and Dr. Noonberg’s resignations were not due to any disagreement with the Company on any matter relating to its operations, policies or practices. Following the resignations, the Board of Directors of the Company decreased the authorized number of directors of the Company from nine directors to six directors.
