~~GETNET~~Shareholders ~~ADQUIRÊNCIA~~are Ehereby ~~SERVIÇOS~~invited ~~PARA~~to ~~MEIOS~~attend DEthe ~~PAGAMENTO~~extraordinary ~~S.A.~~general –meeting ~~INSTITUIÇÃO DE PAGAMENTO~~ (~~“Getnet” or~~ the “~~Company~~EGM”) into ~~accordance~~be ~~with~~held ~~the~~on ~~provisions~~February of9, ~~article 157~~2023, §at 4º2:00 ~~of Law No~~p.m. ~~6,404, of December 15, 1976~~ (the “~~Brazilian Corporation Law~~EGM”), ~~Brazilian~~ ~~Securities~~at ~~Commission (Comissão de Valores Mobiliários or~~ the ~~“CVM”)~~principal ~~Resolution~~place ~~No. 44,~~ of ~~August~~business 23, 2021 ("CVM Resolution 44"), and following the material facts disclosed by the Company on May 19, July 15, October 27, November 11, December 1 and December 21, 2022, is announcing to the Company’s shareholders and the market in general that, upon the conclusion of ~~the~~Getnet ~~initial~~Adquirência ~~offering~~e ~~periods~~Serviços ofpara ~~the~~Meios ~~public~~de ~~delisting~~Pagamento ~~tender~~S.A. ~~offer~~– inInstituição ~~Brazil~~de ~~(the~~Pagamento ~~“Brazilian Offer”) and the tender offer in the United States of America~~ (~~the~~ “~~U.S. Offer~~Getnet” ~~and,~~or ~~together with~~ the ~~Brazilian Offer, the~~ “~~Offers~~Company”), ~~both~~located ~~launched~~at byAvenida ~~PagoNxt~~Presidente ~~Merchant~~Juscelino ~~Solutions~~Kubitschek, SNo.L. ~~(the “Purchaser”) on October 31~~2, ~~2022~~041, ~~for~~Block ~~up to any and all of the outstanding common shares~~A, noEdifício ~~par~~WTORRE ~~value~~JK (~~the~~Santander ~~“Common Shares”~~Headquarters), ~~preferred~~– ~~shares,~~12th ~~no par value (the “Preferred Shares” and~~floor, ~~together~~Vila ~~with the Common Shares~~Olímpia, ~~the~~São ~~“Shares”)~~Paulo/SP, ~~units,~~to ~~each~~resolve ~~composed~~upon ~~of one Common Share and one Preferred Share (~~the ~~“Units”),~~following ~~and~~agenda ~~American depositary shares, each representing two Units~~ (the “~~ADSs~~Agenda” ~~and, together with the Shares and the Units, the “Securities”~~), on December 28, 2022, the CVM communicated, through Official Letter No. 250/2022/CVM/SEP/GEA-1, the approval of the termination of the Company's registration with the CVM as an issuer of securities, in category "A", pursuant to Article 21, §6, of Law No. 6.385/76, Article 4, §4, of Law No. 6,404/76 and Articles 51, 52 and 55 of CVM Resolution No. 80/22. :

~~Thus~~(i)Approve the redemption, pursuant to article 4, paragraph 5, of Law No. 6,404, of December 15, 1976 (“Brazilian Corporate Law”), of all common shares (“Common Shares”), preferred shares (“Preferred Shares” and, together with the ~~Company~~Common noShares, ~~longer~~the ~~has~~“Shares”), ~~securities~~including ~~issued~~Shares represented by itunits, ~~listed~~each ~~for~~representing ~~trading~~one onCommon B3Share and one Preferred Share (“Units”), and American Depositary Shares, each representing two Units (“ADSs”) of the Company and not held by PagoNxt Merchant Solutions, S.AL. ~~– Brasil~~(“PagoNxt”), ~~Bolsa~~by its affiliates or by any directors or officers of the Company, ~~Balcão~~and which remain outstanding after the conclusion of the public delisting tender offer in Brazil (“Brazilian Offer”) and the tender offer in the United States of America (“U.S. Offer” and, together with the Brazilian Offer, the “Offers”), whose financial settlement took place on December 5, 2022, as well as the consequent treatment to be given to the redeemed Shares, Units and ADSs;

~~São~~(ii)Approve ~~Paulo,~~the ~~December~~amendment ~~29,~~of ~~2022~~the Company's Bylaws to reflect the termination of the Company´s registration as a publicly-held company with the CVM and its delisting from the traditional segment of B3 S.A. – Brasil, Bolsa, Balcão (“B3”);

~~André~~(iii)Approve ~~Parize~~the restatement of the Company´s Bylaws; and

~~Investor~~(iv)If ~~Relations~~the ~~Officer~~previous matters are approved, to authorize and ratify all the acts of the Company's managers necessary for the effectiveness of the resolutions proposed and approved by the Company's shareholders.

Additional Information

1. Holders of Shares or Units, or their legal representatives, shall appear physically at the EGM with the appropriate identity documents. In the event of representation of a shareholder by an attorney-in-fact, shareholders shall leave at the Company's principal place of business, at least seventy-two (72) hours before the EGM is held, a power of attorney granted according to applicable law.

2.Holders of ADSs shall be given the right to vote the common and preferred shares underlying the units which their ADSs represent with respect to the matters listed on the Agenda based on the same criteria applied to Brazilian investors, subject to the requirements and procedures of the depositary agreement governing the ADSs. ADS holders will be duly instructed by The Bank of New York Mellon, the depositary for the ADSs.

3.The Brazilian subsequent offering period announced by PagoNxt on December 1, 2022 will automatically expire immediately after the EGM, provided that item (i) on the Agenda is approved by the shareholders at the EGM. The U.S. subsequent offering period announced by PagoNxt on December 1, 2022 will expire at 5:00 p.m. New York City time (7:00 p.m. Brasília time) on February 9, 2023.
