Under the terms of the Five Delta Agreement, these shares were deposited in escrow and are subject to forfeiture if certain post closing conditions, as set forth in the Five Delta Agreement, are not satisfied. While these shares are held in escrow, Mr. Miglino holds voting power over such shares. Mr. Miglino disclaims beneficial ownership over these shares.
